Limitation of Liability

To the fullest extent permitted by law, Vijayi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, arising from your use of or inability to use our Services.

In no event shall Vijayi's total liability to you for all claims arising from these terms or your use of our Services exceed the amount you paid to Vijayi for the Services in the six months preceding the claim.

Indemnification

You agree to indemnify and hold Vijayi and its officers, directors, employees, and affiliates harmless from any claims, damages, liabilities, costs, and fees (including reasonable attorney's fees) arising from:

Term and Termination

These terms and your use of our Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to its conflict of law principles.

Any legal action arising from these terms or your use of our Services shall be brought exclusively in the federal or provincial courts located in Toronto, Ontario, and you irrevocably consent to the jurisdiction of such courts.

Miscellaneous

These terms constitute the entire agreement between you and Vijayi regarding your use of our Services, superseding any prior agreements between you and Vijayi.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision.

You may not assign or transfer these terms or your rights under these terms without our prior written consent. Vijayi may assign or transfer these terms without restriction.
